He is an experienced litigator, represents clients in corporate governance, crisis management, public relations, internal investigations, and business transactions including asset acquisitions, asset sales, mergers, joint ventures, capitalizations and commercial lending, and represents clients in all aspects of bankruptcy and work-out matters. He has extensive experience in the areas of complex commercial and corporate litigation, fiduciary litigation, health care litigation, construction, surety, fidelity, employment, professional defense litigation, director and officer litigation and complex bankruptcy litigation.
In his litigation practice, Mr. Modugno represents clients in all aspects of construction matters including, but not limited to, affirmative claims litigation, contract disputes, construction defect litigation, design disputes, false claims, trust fund liability, lien litigation, performance and payment bond litigation, and subrogation claims. Mr. Modugno also represents individuals, trustees and corporate clients in all aspects of litigation including shareholder and partnership disputes, professional liability defense including attorneys, accountants and engineers, contract disputes, director/officer/manager claims, fiduciary liability, commercial torts and statutory claims including fraud, tortious interference, unfair trade, anti-trust. He has tried numerous cases to successful conclusion in federal courts, bankruptcy courts, state courts and arbitration. He also regularly appears before appellate courts in state and federal courts.
In his corporate practice, Mr. Modugno represents clients in mergers, acquisitions, restructuring, corporate governance, third party financing, capital leases, contract negotiations, risk management, internal investigations, employment matters and state and federal regulatory matters. He has also represented clients in the retail, manufacturing, personal service, food service, transportation, construction, energy, healthcare and distribution industries in significant lending and other capital transactions.
In his bankruptcy and restructuring practice, Mr. Modugno represents debtors, borrowers, trustees, assignees, assignors, receivers, lenders, secured creditors, unsecured creditors, shareholders, insurers, lessors and virtually all parties in interest in bankruptcy, receivership, assignment and work-out matters. He has significant insurance industry specific bankruptcy experience and has represented numerous insurers and sureties in bankruptcy cases throughout the United States.
